1. Who We Are

RPR-DEV is operated by RPR Development LLC, an AI consulting and product development company based in Kansas City, Missouri.

2. Use of the Website

You may use this site to learn about RPR-DEV's services, submit inquiries, and interact with the AI chat widget. You agree not to use the site to transmit unlawful, abusive, or fraudulent content, to attempt to gain unauthorized access to any part of the site or its underlying systems, or to use automated means (bots, scrapers) to extract content without our prior written consent.

3. AI Business Audit and Consulting Engagements

The AI Business Audit is a consulting engagement, not a guarantee of any specific outcome, software, or implementation. Specifically:

• The audit reflects RPR-DEV's professional assessment based on information you provide and a review of your existing systems and workflows. It is not a certification, warranty, or compliance attestation of any kind.
• Recommendations made during or after an audit are advisory. Decisions to implement any recommendation are yours, and RPR-DEV is not responsible for outcomes resulting from changes you make independently of a separate, defined implementation engagement.
• Any implementation work, custom software, automation, or product build beyond the audit itself is governed by a separate written agreement (proposal, statement of work, or contract) specifying scope, deliverables, timeline, and payment terms. These Terms apply in addition to, not in place of, any such agreement.
• RPR-DEV does not provide legal, financial, tax, or regulatory compliance advice. If your business is subject to specific regulatory requirements (healthcare, cannabis, financial services, etc.), you remain responsible for confirming compliance with qualified counsel.

4. Intellectual Property

• All content on rpr-dev.com, including text, graphics, logos, and site design, is the property of RPR Development LLC unless otherwise noted, and may not be copied or reused without permission.
• Unless otherwise specified in a separate written agreement governing a specific engagement, custom deliverables (code, documents, designs) produced for a client as part of a paid engagement become the property of the client upon full payment, while RPR-DEV retains the right to reuse general methods, frameworks, and non-confidential know-how developed in the course of that work.
• Pre-existing tools, frameworks, templates, and proprietary systems owned by RPR-DEV prior to an engagement remain the property of RPR-DEV, and are licensed for the client's use as applicable rather than transferred outright.

5. AI Tools on This Site

This site includes an AI chat widget and may route phone calls to an AI voice assistant. These tools are provided for informational and intake purposes only. See our AI Disclosure page for details on how these tools work, their limitations, and how your conversations are handled. Nothing communicated by the AI chat widget or voice assistant constitutes a binding offer, contract, quote, or guarantee on behalf of RPR-DEV unless separately confirmed in writing by RPR-DEV personnel.

6. Payment Terms

Where applicable, fees, payment schedules, and invoicing terms for a specific engagement will be set out in that engagement's proposal or contract. General site browsing and initial inquiry/audit-booking through this website do not themselves create a payment obligation.

7. Disclaimers

This website and its content are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. RPR-DEV does not warrant that the site, chat widget, or voice assistant will be uninterrupted, error-free, or free of inaccuracies.

8. Limitation of Liability

To the fullest extent permitted by law, RPR Development LLC and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of this site or reliance on information provided through it, the AI chat widget, or the AI voice assistant. For any paid engagement, RPR-DEV's total liability will not exceed the amount paid by the client for that specific engagement, except where prohibited by law.

9. Indemnification

You agree to indemnify and hold harmless RPR Development LLC from any claims, damages, or expenses arising from your misuse of this site, violation of these Terms, or violation of any law or third-party right.

10. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state or federal courts located in Missouri.

11. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the site after changes are posted constitutes acceptance of the revised Terms.
